In his counsel to individuals as well as private and public companies, Colin works closely with clients to provide advice on various business matters. Colin’s business and commercial real estate practice covers entity formation, entity governance, restructuring, mergers and acquisitions, dissolutions, contract negotiation, commercial leasing, buy/sell arrangements, and commercial borrowing and lending.
While at the University of Connecticut School of Law, Colin was the Student Research Project Editor of the Connecticut Insurance Law Journal.
Representative Experience
- Performed due diligence for a publicly-traded company that sold the assets of a division of its business to a competitor.
- Represented buyers and sellers in commercial real estate transactions throughout the United States for consideration ranging from hundreds of thousands to tens of millions of dollars.
- Prepared and submitted SEC and state notice filings pursuant to Regulation D exemptions.
- Prepared and filed reorganization documents in connection with pre-sale restructurings.
- Performed due diligence for numerous companies in a variety of industries in connection with equity and asset sales to private equity and institutional purchasers.
- Assisted in the preparation and submission of certificate of need applications to the Connecticut Office of Health Strategy.
- Assisted in the preparation and negotiation of financing instruments with commercial lenders.
